Cerebras Systems has filed an updated S-1 for its long-delayed initial public offering, after resolving a national security review by the Committee on Foreign Investment in the United States concerning an investment from UAE-based G42.

The AI chip company, which builds wafer-scale processors positioned as an alternative to Nvidia GPUs for large model training and inference, is targeting a valuation above $8 billion, according to people familiar with the offering.

Why the delay mattered

Cerebras first filed confidentially in 2024 but pulled the offering amid the CFIUS review and a choppy market window for AI infrastructure names. The resolution of that review removes the primary overhang bankers cited for the original delay.
